TERMS AND CONDITIONS

1. TERMS OF PAYMENT - If at any time in the opinion of Foothills Ready Mix (hereinafter called "the Company"), the financial responsibility of the purchaser becomes impaired or unsatisfactory, the Company reserves the right to require payment in advance or security for deliveries under this agreement. All accounts are due in full by the 15th day of the following month after date of invoice. On overdue payment, interest will be charged at the rate of 2% per month (26.8% per annum). For purposes of the Builders Lien Act, we reserve the right to lien prior to due date. Products or services not herein quoted, but delivered or supplied to the project shall be considered part of the same contract notwithstanding separate purchase orders. All disputes or discrepancies must be made in writing to the General Manager within 15 days of invoicing.
    
2. CONTINGENCIES - The Company will not be responsible for failure to make deliveries occasioned by labour disputes, accidents, breakdown of machinery or equipment, fire, flood, weather conditions, lack of suitable transportation, or in the event of inability to obtain equipment, materials or supplies at other than those prices used in our quotation, or for any other cause whatsoever kind or nature beyond the reasonable control of the Company.
    
3. DAMAGE CLAIMS - Damage claims will not be accepted unless reported in writing within 72 hours and acknowledged in writing by the Company's Safety Supervisor.
    
4. TAXES AND ROYALTIES - Any taxes or royalties which may be levied after the date of this quotation by the Government of Canada or any Province or political subdivision thereof with respect to the materials or the ingredients of the materials or the sale or purchase thereof, or the costs of transportation of the same, which are paid or required to be paid or collected by the Company, shall be added to the prices herein named.
    
5. DELIVERY CONDITIONS - The purchaser agrees to provide suitable roadways or approaches to points of delivery when materials are to be delivered by trucks in places other than on paved streets. If such suitable roadways or approaches are not provided, the Company reserves the right to suspend deliveries until the conditions are remedied. In the event the purchaser orders delivery beyond the curb line of any public roadway, the Company shall not be liable for any damages caused to or by its equipment when the same has left the public roadway, and the purchaser hereby agrees to indemnify and save the Company harmless against all liability, loss and expense incurred as a result of such deliveries.
    
6. SHIPPING INSTRUCTIONS - The purchaser shall notify the Company a reasonable time in advance of when it requires deliveries and the Company shall endeavor to meet the required delivery time, but shall not be liable for its failure to do so for any cause whatsoever.
    
7. DAMAGES TO TRUCKS AND EQUIPMENT - The purchaser agrees that any and all costs and expenses arising out of damage to the Company's trucks and/or other equipment resulting from the purchaser's method of unloading or from any other cause arising out of the purchaser's negligence, shall be borne by the purchaser. In the event the purchaser is, by his method of unloading or otherwise following a course of conduct which in the opinion of the Company is likely to cause damage to the Company's trucks and/or equipment, the Company may suspend deliveries until the likelihood of loss or damage has been eliminated.
    
8. DETENTION OF TRUCKS AT THE BUILDING SITE - Waiting time to be calculated on total day's pour, based on a maximum of 8 minutes per cubic meter allowance for unloading. After which a charge of $100.00 per hour will apply. In the case of repeated delays in unloading, the Company may suspend deliveries until the conditions giving rise to the delays are corrected.
    
9. All concrete supplied by the Company is produced to meet the most recent C.S.A. A23 and A.S.T.M. C94 (working stress) specifications for Ready Mix Concrete, provided the concrete is tested in accordance with appropriate A.S.T.M. standards. The Company will not be responsible for concrete that is mixed for more than 1 1/2 hours.
    
10. Evaluation of concrete quality to ensure compliance with CSA Standards must be tested under A23.1 - 94, Concrete Materials and Methods of Concrete Construction, and A23.2 - 94, Methods of Test for Concrete.
    
    

    17.1.2.2:

    "Field testing of concrete required to determine compliance with this Standard shall be made by personnel certified under Clause 17.1.2.11, or by a certified ACI Concrete Field Testing Technician, Grade 1."

11. Prices are based on loads of not less than 4 cubic meters except for one load to finish a day's pour. Small delivery charges will be assessed as per the Retail Price List.
     
12. CEMENT - Selection of the brand of cement shall be at the option of the Company, and the purchaser agrees to accept the brand of cement in stock at the time of delivery.
     
13. VOLUME - Concrete prices and quantities are based upon the wet volume at the time of discharge from the delivery truck. Receipted delivery tickets shall be conclusive as to quantities delivered unless disputed by written notice to the Company within 24 hours of time of delivery.
     
14. ADDED INGREDIENTS - If, at any time, any water or other material is added to the concrete by the purchaser or at his request by the Company or any other person, the Company shall no longer be responsible for either the slump or the strength of concrete so treated.
     
15. The Company does not assume responsibility for any damages resulting from improper placing, finishing, forming and/or curing by other than Company personnel.
     
16. MODIFICATIONS - No modification, alteration or deletion of this Contract or any part hereof shall be binding upon the Company unless made in writing and executed by the Company.
     
17. The Company will not be responsible for concrete damaged by frost, settlement and other construction operations and/or tradesmen.
     
18. Extra charges are applicable for Saturday delivery, and deliveries starting after 5:00 p.m.
